1.1 These Terms and Conditions apply to the provision of services outlined in our quotation by Pest Shield North East Ltd, of 1 Gainsborough Avenue, South Shields, NE34 8NR, to the person or business purchasing the services (referred to as “you”).
1.2 By accepting our quotation, you are deemed to have accepted these Terms and Conditions.
2.1 Headings are included for convenience only and do not affect the interpretation of these Terms.
2.2 Words in the singular include the plural and vice versa.
3.1 We guarantee to deliver our services using reasonable care, skill, and attention, in accordance with the details provided in our quotation.
3.2 We will make every reasonable effort to complete the services within the agreed timescales. However, timeframes are not of the essence unless otherwise specifically agreed in writing.
3.3 These Terms and Conditions apply to all services we provide unless agreed otherwise.
4.1 You must obtain any necessary permissions or consents needed for us to carry out the services at your property.
4.2 If you fail to comply with clause 4.1, we reserve the right to delay or withhold services until compliance is confirmed.
4.3 We are not responsible for any delays or failure to perform our services resulting from your failure to meet your obligations.
5.1 Fees for our services are outlined in our quotation and invoice.
5.2 Residential clients: Payment is due on the day of treatment unless an alternative arrangement is agreed at the time of quotation.
5.3 Commercial clients: Payment terms are NET30 (payment due within 30 days of the invoice date).
5.4 All Fees include VAT and any other applicable taxes or levies, unless otherwise stated.
6.1 We may withdraw, cancel, or amend a quotation if it has not been accepted within one (1) day or if services have not yet commenced.
7.1 Residential payments must be made on the day of service unless agreed otherwise.
7.2 Commercial payments must be made within 30 days of receiving the invoice.
7.3 We accept payment by cash, card, BACS transfer, or cheque.
7.4 Payments must be made in full without any set-off, withholding, or deduction unless legally required.
7.5 Receipts can be provided upon request.
7.6 Payments must be made in GBP unless agreed otherwise in writing.
7.7 24 hours’ notice is required to cancel a scheduled appointment, otherwise a £50+VAT missed appointment fee may be charged at our discretion.
7.8 We reserve the right to charge interest at 8% above the Bank of England base rate and claim compensation for debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
7.9 An administration fee of £40+VAT may be added for additional costs related to recovering overdue payments.
7.10 Additional charges apply for appointments outside normal business hours and weekends, subject to availability.
8.1 All installation work carried out by Pest Shield North East Ltd is guaranteed for 12 months unless stated otherwise. This includes bird proofing, fitting of bird spikes, rodent proofing, and installation of drain gates.
a. Bird nets must be inspected every six months to ensure they remain intact and effective. Pest Shield North East Ltd can carry out inspections at standard rates upon request.
b. Drain gates should be checked every six months to ensure proper function and that no blockages have occurred. Pest Shield North East Ltd offers maintenance services subject to standard rates.
c. Rodent proofing work is designed based on the target species. We are not responsible for any damage caused by rodents after proofing work is completed.
9.1 We may terminate services immediately if you:
Breach your obligations under these Terms;
Fail to pay sums due on time;
Become insolvent or bankrupt;
Enter into any arrangement with creditors, or if insolvency proceedings are initiated against you.
10.1 All intellectual property rights relating to our services remain the property of Pest Shield North East Ltd. We reserve the right to take action to protect our rights if necessary.
11.1 Our total liability under these Terms is limited to the total fees paid by you.
11.2 We are not liable for indirect, special, or consequential losses, including but not limited to, loss of profit, business interruption, or reputational damage.
11.3 We are not liable for failure to perform our obligations due to causes beyond our reasonable control.
11.4 You agree to indemnify Pest Shield North East Ltd against any losses or damage caused to our property or equipment due to your actions.
11.5 Nothing in these Terms limits liability for death, personal injury caused by our negligence, or fraudulent misrepresentation.
12.1 Neither party will be liable for delays or failures caused by events beyond reasonable control, including (but not limited to) extreme weather, industrial action, acts of terrorism, and power failures. If such events last beyond 90 days, either party may terminate the agreement.
13.1 All notices must be in writing and can be delivered by hand, courier, email, or post.
13.2 Notices will be considered received:
Immediately if delivered by hand or courier during business hours;
Upon receipt of email or fax confirmation;
Five (5) working days after posting by standard mail;
Ten (10) working days if sent by airmail.
13.3 Notices should be sent to the last known address or email provided.
14.1 A failure or delay by either party to exercise any right under these Terms will not be deemed a waiver of that or any other right.
15.1 If any provision is found to be invalid or unenforceable, it will be severed, and the remainder of the Terms will remain in full force.
16.1 These Terms and Conditions are governed by the laws of England and Wales. All disputes are subject to the exclusive jurisdiction of the English and Welsh courts.
